Welcome to the DSGex platform (referred to as the "Platform"). The Platform is operated by GEIA LLC d/b/a DSGex ("DSGex"). The Platform is provided for convenience and informational purposes. This Terms and Conditions of Use Agreement (referred to as the "Agreement") describes the terms, conditions, and general guidelines applicable to your access and use of the Platform.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions of this Agreement, the Privacy Policy (incorporated by reference), together with the terms set forth below and the Standard Contractual Clauses. DSGex reserves the right to change or modify any of the terms and conditions in this Agreement, on the Platform, or any policies/guidelines at any time and in its sole discretion without further notice. Any changes or modifications will be effective immediately upon posting on the Platform. Your continued use of the Platform following any changes constitutes your acceptance of those changes. Accordingly, you should frequently review the Platform, this Agreement, and applicable policies to understand the terms and conditions applicable to your access and use of the Platform. If you do not accept these terms, you are not authorized to use the Platform.
1. General Terms
a. Use of Platform
DSGex grants you a limited, non-exclusive, revocable right to access and use the Platform for personal, non-commercial purposes, provided that you do not modify, alter, or download (other than page caching) any portion of the Platform, unless otherwise specifically provided or you have received prior written permission from DSGex. This right will automatically terminate immediately if you violate any of the terms of this Agreement. DSGex reserves the right to modify or remove any material or services on the Platform at any time without prior notice. All rights not expressly granted herein are reserved by DSGex.
b. Account Security
You are responsible for:
- i. Preparing all equipment and connections necessary to access the Platform.
- ii. Ensuring that all persons who access the Platform through your Internet connection are aware of and comply with this Agreement.
To access certain features, you may need to provide registration information. All information you provide must be accurate, current, and complete. You agree that registration information is governed by our Privacy Policy and you consent to all actions DSGex takes with respect to your information consistent with the Privacy Policy.
c. Prohibited Conduct
You may not use the Platform or its content for commercial purposes. You also agree not to download or copy content for the benefit of any third party, nor to use data mining, robots, or similar data-gathering technologies. The whole or any part of the Platform may not be copied, duplicated, displayed, sold, resold, or otherwise exploited for commercial purposes without the written consent of DSGex.
You agree not to:
- i. Use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with any other party's use.
- ii. Use any robot, spider, or other automatic device to access the Platform.
- iii. Use any manual process to monitor or copy content without prior written permission.
- iv. Use any device, software, or routine that interferes with the proper working of the Platform.
- v. Introduce any viruses, Trojans, worms, logic bombs, or any other malicious code.
- vi. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server, or any database connected to it.
- vii. Launch denial-of-service attacks (DoS or DDoS).
- viii. Otherwise interfere with the proper working of the Platform in any other way.
d. Online Purchases
Although we strive to provide accurate information, the information on the Platform may contain errors, omissions, or outdated information. We make no representations or warranties as to the completeness, accuracy, timeliness, or reliability of such information and are not responsible for such limitations.
e. Confidential Information
Do not use the Platform to send information you consider confidential or proprietary. Any material you submit (emails, comments, ideas, etc.) will be considered a contribution to DSGex, and DSGex will have the right to use it without restriction, without acknowledgment or compensation to you. Submitting materials constitutes a waiver of any "moral rights" related to such materials.
f. Equipment
You are solely responsible for providing, maintaining, and ensuring the compatibility of equipment, hardware, software, Internet connectivity, and all technical requirements necessary to use the Platform.
g. Accessibility
You acknowledge that the Platform may be temporarily inaccessible due to equipment failure, maintenance, or causes beyond the control of DSGex.
2. Intellectual Property Rights
a. Trademarks
All trademarks, trade names, and logos on the Platform are the property of DSGex or third parties. You may not use any trademarks without written permission.
b. Copyrighted Works
All content on the Platform (images, videos, text, graphics, etc.) is the property of DSGex or third parties and is protected by copyright law. You may not copy, modify, distribute, or exploit any content for commercial purposes without written permission.
ANY DISTRIBUTION OF DSGEX'S PROPRIETARY CONTENT FROM BEHIND A PAYWALL WITHOUT EXPRESS CONSENT SHALL BE SUBJECT TO A PENALTY OF UP TO $500 PER VIOLATION.
3. Links
a. Links to the Platform and Social Media Features
You may link to the Platform's homepage if done fairly, legally, and in a way that does not damage our reputation. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without written consent.
You may only use social media features in the way they are provided and in compliance with any additional terms (if applicable). DSGex reserves the right to disable any linking features at any time.
b. Links from the Platform
The Platform may contain links to third-party websites for convenience purposes only. DSGex does not control and is not responsible for the content of or damages resulting from the use of such websites.
c. Third-Party Integrations
DSGex may integrate with trading platforms and display links to third-party content. DSGex is not responsible for the acts or omissions of any third party.
d. Geographic Restrictions
DSGex is based in the United States. The Platform is provided primarily for users in the United States. If you access the Platform from outside the United States, you are solely responsible for compliance with local laws.
4. Disclaimer of Warranties
The Platform and all content and services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, whether express or implied. DSGex does not warrant that the Platform will be uninterrupted, error-free, virus-free, or absolutely secure. Your use of the Platform is entirely at your own risk.
5. Limitation of Liability
In no event shall DSGex and its related parties be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of or inability to use the Platform.
6. Investment Disclaimer
DSGex provides general educational information only. No content on the Platform should be considered investment advice, a recommendation to buy/sell securities, or financial advice. DSGex is not a licensed securities broker or investment advisor. You are solely responsible for your own investment decisions and should consult qualified financial, legal, and tax professionals before making any transactions.
7. Data Protection
DSGex is committed to protecting your personal information in accordance with the Privacy Policy (incorporated by reference). When transferring personal data from the European Union, DSGex complies with the Standard Contractual Clauses attached as Appendix A to this Agreement. By accepting this Agreement, you consent to the transfer and processing of your personal data.
8. Indemnification
You agree to indemnify, defend, and hold harmless DSGex, its affiliates, shareholders, directors, employees, and agents from any claims, losses, or liabilities arising from your use of the Platform or violation of this Agreement.
9. Termination
This Agreement is effective upon your acceptance and will continue until terminated. DSGex reserves the right to terminate or suspend your access to the Platform at any time without prior notice. Sections 1, 2, 4, 5, and 6 shall survive termination of this Agreement.
10. Miscellaneous
a. Amendments
You may not modify this Agreement without the written consent of DSGex.
b. Governing Law
This Agreement shall be governed by the laws of the State of Connecticut, United States.
c. Dispute Resolution
Disputes (except disputes related to the Privacy Policy) shall be resolved in federal or state courts in Connecticut.
d. Arbitration Agreement & Class Action Waiver
The provisions regarding binding arbitration and class action waiver are detailed in the corresponding sections of the Agreement.
e. Entire Agreement
This Agreement, together with the Privacy Policy, Disclaimer, and Standard Contractual Clauses, constitutes the entire agreement between the parties.
APPENDIX A – STANDARD CONTRACTUAL CLAUSES
(Standard Contractual Clauses under GDPR)
SECTION I
Clause 1 – Purpose and scope
a. The purpose of these standard contractual clauses is to ensure compliance with the requirements of Regulation (EU) 2016/679 (GDPR) for the transfer of personal data to a third country.
b. The Parties:
i. The natural or legal person(s) transferring personal data (“data exporter”), and
ii. The entity in the third country receiving personal data (“data importer”) – GEIA LLC d/b/a DSGex.
c. These Clauses apply to the transfer of personal data as specified in Annex I.B.
Clause 2 – Effect and invariability of the Clauses
These Clauses set forth appropriate safeguards and may not be modified except to select the appropriate Module or to update information in the Annexes.
Clause 3 – Third-party beneficiaries
Data subjects have the right to invoke and enforce these Clauses as third-party beneficiaries.
Clause 4 – Interpretation
Terms defined in the GDPR shall have the corresponding meanings.
Clause 5 – Hierarchy
In case of conflict, these Clauses shall prevail.
Clause 6 – Description of the transfer(s)
The details of the transfer are set out in Annex I.B.
Clause 7 – Docking clause
Other entities may accede to these Clauses with the agreement of the Parties.
SECTION II – OBLIGATIONS OF THE PARTIES
Clause 8 – Data protection safeguards
The data importer shall ensure that data is processed only for the stated purposes, maintaining confidentiality, transparency, accuracy, storage limitations, and implementing appropriate technical and organizational measures.
Clause 9 – Data subject rights
The data importer must process data subject requests within one month.
Clause 10 – Redress
The data importer must provide a contact point for handling complaints.
Clause 11 – Liability
Each Party shall be liable for damages caused by its breach.
Clause 12 – Supervision
The data importer agrees to comply with and cooperate with the competent supervisory authority.
SECTION III – LOCAL LAWS AND ACCESS BY PUBLIC AUTHORITIES
Clause 13 – Local laws and practices
The Parties warrant that the laws and practices in the destination country do not prevent compliance with these Clauses.
Clause 14 – Obligations in case of public authority access
The data importer must notify the data exporter of any disclosure requests from public authorities.
SECTION IV – FINAL PROVISIONS
Clause 15 – Non-compliance with the Clauses and termination
Clause 16 – Governing law (Law of Ireland)
Clause 17 – Choice of forum and jurisdiction (Courts of Ireland)
APPENDIX
ANNEX I
A. LIST OF PARTIES
1. Data exporter(s): Individuals who create accounts on the Platform.

B. DESCRIPTION OF TRANSFER
- Categories of data subjects: Individuals
- Categories of personal data: Email addresses and account registration information
- Frequency: One-off or as required for account creation and maintenance
- Nature and Purpose: Processing account registration, session management, and providing Platform services. Data is stored through authorized service providers and third-party hosting under confidentiality agreements. Maximum retention period of 10 years or for the duration of the active account, or per user deletion request.
C. COMPETENT SUPERVISORY AUTHORITY
The competent supervisory authority in the EU Member State where the data exporter is established.
ANNEX II
TECHNICAL AND ORGANIZATIONAL MEASURES
DSGex and our service providers implement reasonable technical and organizational measures to protect data, including firewalls, transport channel encryption, and strict access controls.
