End User License Agreement

1. License Grant

Subject to your compliance with this EULA and maintenance of an account in good standing, DSGex grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software for your own internal research and analysis.

The license is per-seat. An account is for one individual; credentials may not be shared, lent, or used concurrently by more than one person. We monitor for indicators of account sharing and may suspend accounts in violation.

2. Restrictions

You may not, and may not permit others to:

• a. Copy, modify, translate, create derivative works from, distribute, sell, rent, sublicense, or transfer the Software or any part of it;
• b. Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying algorithms, except to the extent applicable law expressly permits;
• c. Access the Software by automated means (scrapers, bots, headless browsers, reuse of API tokens) outside the interfaces we publicly provide and document;
• d. Extract, bulk-store, redistribute, retransmit, or resell market data, levels, signals, or derived data obtained from the Software to any third party;
• e. Use the Software to build a competing product or service, or to publish benchmarks, without our prior written consent;
• f. Remove or obscure any proprietary, trademark, or copyright notice;
• g. Probe, scan, or test the vulnerability of the Software or our infrastructure, or circumvent any usage limit, feature gate, or authentication measure;
• h. Use the Software in violation of applicable law, including U.S. export control and sanctions law.

3. Ownership

The Software is licensed, not sold. DSGex and our licensors retain all right, title, and interest in the Software, including all code, models, computational methods, interfaces, visual design, and related intellectual property. You receive no rights other than the limited license expressly granted here.

Feedback, feature suggestions, or bug reports you send us may be used freely without obligation or compensation to you.

4. Third-Party Market Data

The Software displays data derived from third-party market data vendors and exchanges. That data remains the property of the respective vendor, may be subject to additional exchange terms, and is provided on a delayed or near-real-time basis depending on the source. We do not warrant the accuracy, completeness, or timeliness of that data. Displayed values are computed estimates and may differ from those reported by other vendors.

5. Updates and Changes

We may update, change, or discontinue any feature of the Software at any time. Updates may be installed automatically. Some features are available only on certain subscription tiers, and the feature set of a tier may change.

6. Termination

This license terminates automatically if you breach this EULA, if your account is closed, or when your subscription ends. On termination you must stop using the Software and delete any local copies, including the browser extension. Sections 2, 3, 7, 8, and 9 survive termination.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. DSGEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DSGEX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, TRADING LOSSES, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE. DSGEX'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNTS YOU PAID DSGEX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Governing Law

This EULA is governed by the laws of the State of Connecticut, United States, without regard to conflict-of-laws principles. The arbitration and class action waiver provisions in the Terms of Service and Privacy Policy also apply to this EULA.
